These Terms of Service (“Terms”) govern your access to and use of CloudyBot and related websites, applications, and services (collectively, the “Services”) provided by CloudAxis Labs LLC (“CloudAxis,” “we,” “us,” or “our”), a Wyoming limited liability company with its registered office at 30 N Gould St, STE R, Sheridan, WY 82801, USA.
By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
1. Service description
CloudyBot is a cloud-based software platform that offers AI-assisted productivity features, including content creation, publishing to connected social accounts where authorized, analytics, workflow automation, notifications (including via WhatsApp where enabled), file handling, and related functionality. Features may vary by plan. We may modify or discontinue features with reasonable notice where practicable.
2. Account registration
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for activity under your account. You must be at least 16 years old to use the Services. You must notify us promptly of unauthorized use.
3. Acceptable use
You agree not to use the Services to violate law; infringe others’ rights; send spam or unlawful messages; harass or harm others; attempt unauthorized access to systems or data; interfere with the Services; scrape or automate third-party platforms in violation of their terms; or use the Services to generate or distribute malware, deceptive content, or other harmful materials. We may suspend or terminate access for violations.
4. Intellectual property
CloudAxis and its licensors own the Services, software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You retain ownership of content you submit; you grant us a license to host, process, and display your content as needed to provide the Services.
5. Third-party integrations
The Services may integrate with third-party platforms (including Meta products such as Instagram, Facebook, and WhatsApp). Those platforms are governed by their own terms and privacy policies. We are not responsible for third-party services. If you connect an account, you authorize us to access and use information as described in our Privacy Policy and as permitted by that provider.
6. Payment and billing
Paid plans, taxes, renewals, and cancellations are described at cloudybot.ai/pricing and in checkout flows. Fees are charged via our payment processor (e.g., Stripe). Unless stated otherwise, subscriptions renew until canceled. Hard caps and plan limits may apply as described in product documentation.
7. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDAXIS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.
9. Indemnity
You will defend and indemnify CloudAxis against claims arising from your content, your use of the Services in violation of these Terms, or your violation of third-party rights or law, subject to our prompt notice and reasonable cooperation.
10. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach, risk, or legal requirements. Provisions that by nature should survive (e.g., liability limits, indemnity) will survive termination.
11. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. You agree that the state and federal courts located in Wyoming have exclusive jurisdiction over disputes arising from these Terms or the Services, and you consent to personal jurisdiction there.
12. Changes
We may update these Terms by posting a revised version on this site and updating the effective date. Continued use after the effective date may constitute acceptance. If you do not agree, stop using the Services.
